Legal Officer

THE ROLE: 

The company’s first single malt whisky distillery (and the first independent single malt whisky distillery in Southeast Asia, delivering exceptional whiskies and other spirits of distinction, with offices in Hanoi and Ho Chi Minh City.

We are seeking a highly motivated and experienced Legal Officer to join our dynamic team. This role involves managing licensing, supply, and distribution contracts and tax regulations, labor contracts, select HR responsibilities, and general office administration

Responsibilities:

- Executive Advisory: Provide sound legal advice directly to the CEO, leadership team, and Board on strategic decisions, corporate structure, and major regulatory developments.

- Ensure compliance with Vietnamese laws and regulations about the production, distribution, licensing, and trade of alcoholic beverages (e.g., Decree 105/2017/ND-CP and related amendments).

- Lead the drafting, review, negotiation, and finalization of supply and distribution contracts, partnerships, and strategic vendor contracts.

- Develop and implement proper management policies and tools to support proper legal practices.

- Advise top management regarding labor law matters, internal policies, and employment disputes.

- Manage corporate secretarial duties, ensuring compliance with enterprise law, maintaining corporate records, and advising the Board on governance best practices.

- Oversee and manage all corporate, production, distribution, and import/export licenses, ensuring timely applications, renewals, and compliance with all conditions.

- Review and approve all marketing materials, advertising campaigns (digital and traditional and brand communications to ensure compliance with alcohol advertising regulations.

- Review and approve all labor contracts and HR administrative matters

- Manage all corporate secretarial duties (both for our Vietnamese entities and our Singapore holding corporation (“Holdco”), ensuring compliance with enterprise law, maintaining corporate records (Vietnam and Singapore), and advising the Board on governance best practices.

- Oversee general administrative matters.

Yêu cầu công việc

- Bachelor's degree in law or related fields.

- Language proficiency: fluent in English, all 4 skills.

- Minimum 5 years of relevant legal experience, preferably in the alcohol beverage industry or a related field.

- Understanding of contract law, corporate law, and regulatory compliance.

- Experience working with government agencies and regulatory bodies.

• Lĩnh vực & hoạt động công ty:
  Công ty hoạt động trong lĩnh vực sản xuất và kinh doanh đồ uống có cồn, sở hữu nhà máy chưng cất whisky mạch nha đơn đầu tiên tại Việt Nam.
  Danh mục sản phẩm gồm whisky, gin, rum, cà phê, Triple Sec (rượu mùi cam), Crème de Cacao, Crème de Coconut.
  Công ty sản xuất và phân phối theo thùng cho khách hàng doanh nghiệp, phục vụ nhu cầu quà tặng khách hàng, cho phép in logo thương hiệu theo yêu cầu.
  Hiện công ty đã hợp tác với Vingroup và nhiều đối tác trong kênh Horeca.

• Vị trí & quản lý trực tiếp:
  Báo cáo trực tiếp cho CEO (Expat).
  Vị trí Legal chịu trách nhiệm giám sát và quản lý team văn phòng tại Hà Nội.

• Yêu cầu kinh nghiệm:

  • Tối thiểu 03 năm kinh nghiệm pháp lý liên quan, ưu tiên trong ngành đồ uống có cồn hoặc lĩnh vực liên quan

• Yêu cầu chuyên môn:

  • Am hiểu luật thương mại trong nước và quốc tế

  • Nắm rõ quy định pháp luật Việt Nam về sản xuất, phân phối, cấp phép và kinh doanh đồ uống có cồn
    (ví dụ: Nghị định 105/2017/NĐ-CP và các văn bản sửa đổi, bổ sung)

  • Có hiểu biết về quản lý và bảo hộ thương hiệu

• Ngoại ngữ:

  • Tiếng Anh bắt buộc, do quản lý trực tiếp là người nước ngoài

• Yêu cầu khác:

  • Ưu tiên Nam hoặc Nữ

  • Độ tuổi: 8x – 9x
